4. Professional Disclaimer

4.1 Not a Substitute for Licensed Professional Review

While Noblyn LLC employs experienced professionals and produces drawings to international code standards, the drawings we provide are not a guarantee of permit approval, structural adequacy, or regulatory compliance in any specific jurisdiction. Building codes, zoning ordinances, and permit requirements vary by location and are subject to change.

4.2 Jurisdiction-Specific Requirements

It is the client’s responsibility to verify that the drawings provided by Noblyn LLC meet the specific requirements of their local building department, planning authority, or other regulatory body before submission. Noblyn LLC strongly recommends that clients have all drawings reviewed by a locally licensed architect or engineer where required by law.

4.3 Stamped and Sealed Drawings

Unless explicitly stated in a signed project agreement, the drawings provided by Noblyn LLC are not stamped or sealed by a licensed Professional Engineer (PE) or licensed Architect (AIA). Where a PE stamp or architect’s seal is required by the local jurisdiction, it is the client’s responsibility to engage a locally licensed professional to review and seal the drawings prior to submission.

5. Client Responsibilities

To enable Noblyn LLC to deliver accurate, permit-ready drawings, clients agree to:

  • Provide complete, accurate, and up-to-date project information, including site surveys, existing drawings, photographs, geotechnical reports, and any other relevant documentation requested by Noblyn LLC
  • Inform Noblyn LLC of all applicable local codes, zoning requirements, HOA restrictions, easements, and any known site constraints that may affect the design
  • Review all draft drawings promptly and provide clear, consolidated feedback within agreed timelines
  • Notify Noblyn LLC immediately of any changes to the project scope, site conditions, or local requirements that arise during the drawing process
  • Ensure that all drawings submitted for permit or planning approval are reviewed for local code compliance, and engage a locally licensed professional where required
  • Obtain all necessary permits, approvals, and authorisations prior to commencing construction

Noblyn LLC accepts no liability for errors, omissions, or permit rejections arising from inaccurate, incomplete, or withheld information provided by the client.

6. Fees and Payment

6.1 Quotation and Agreement

All fees for Noblyn LLC’s services are set out in a written project proposal or agreement issued to the client prior to commencement of work. No work will begin until a project agreement has been accepted and any required deposit payment has been received.

6.2 Payment Terms

Unless otherwise specified in the project agreement, the following default payment structure applies:

  • A deposit of 50% of the total project fee is due upon signing of the project agreement and before any work commences
  • The remaining balance is due upon delivery of the final permit-ready drawing set
  • For larger projects, a milestone-based payment schedule may be specified in the project agreement

6.3 Late Payment

Invoices not paid within 14 days of the due date may incur a late payment fee of 1.5% per month on the outstanding balance. Noblyn LLC reserves the right to suspend work on any project where payment obligations are not met.

6.4 Additional Fees

Any changes to the agreed project scope requested by the client after work has commenced may be subject to additional fees. Noblyn LLC will notify the client of any additional costs before proceeding with out-of-scope work.

7. Revisions and Amendments

7.1 Included Revisions

Noblyn LLC includes a defined number of revision rounds within the scope of each project, as specified in the project agreement. Revisions within scope are provided at no additional charge and cover modifications required to bring drawings into compliance with building department review comments.

7.2 Out-of-Scope Revisions

Revisions requested by the client that reflect a change in project scope — including but not limited to changes to building footprint, structural system, MEP system design, or site layout — are not included in the standard revision allowance and will be subject to additional fees.

7.3 Design Changes After Approval

Where a client requests design changes after building department approval has been issued, Noblyn LLC will provide a revised proposal for the additional work required. Noblyn LLC accepts no responsibility for delays or additional costs incurred as a result of design changes initiated after permit submission.

8. Intellectual Property

8.1 Ownership of Drawings

All drawings, designs, calculations, models, renders, and other deliverables produced by Noblyn LLC are the intellectual property of Noblyn LLC until full payment of all invoiced fees has been received. Upon receipt of full payment, Noblyn LLC grants the client a non-exclusive, non-transferable licence to use the deliverables for the specific construction project for which they were prepared.

8.2 Restrictions on Use

Clients may not reproduce, modify, distribute, resell, or repurpose any Noblyn LLC deliverable for any project other than the one for which it was prepared without prior written consent from Noblyn LLC. Drawings prepared for a specific site or project may not be reused for a different site, project, or client.

8.3 Portfolio Rights

Noblyn LLC reserves the right to use images, photographs, renderings, and project information from completed projects in its portfolio, website, marketing materials, and social media — unless the client has explicitly requested confidentiality in writing prior to project commencement.

9. Confidentiality

Noblyn LLC will treat all client-provided project information, drawings, site data, and business information as confidential and will not disclose it to third parties except where required to fulfil the agreed scope of services (for example, engaging a specialist subconsultant). Clients acknowledge that any information provided to Noblyn LLC that is not explicitly marked as confidential may be used by Noblyn LLC for internal quality review and professional development purposes.

10. Limitation of Liability

10.1 Cap on Liability

To the maximum extent permitted by applicable law, Noblyn LLC’s total liability to any client for any claim arising from or related to its services shall not exceed the total fees paid by that client for the specific project from which the claim arises.

10.2 Exclusions

Noblyn LLC shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages arising from the use of its services or deliverables
  • Permit rejections, construction delays, or cost overruns arising from local code requirements not communicated to Noblyn LLC
  • Errors arising from inaccurate or incomplete information provided by the client
  • Losses arising from the client’s failure to engage a locally licensed professional where required
  • Any third-party acts, omissions, or failures that affect the project

10.3 No Warranty

Noblyn LLC’s drawings are provided on the basis of the information available at the time of preparation and in accordance with the agreed scope of services. Noblyn LLC makes no warranty, express or implied, that the drawings will guarantee permit approval, structural performance, or regulatory compliance in any specific jurisdiction.

13.1 Termination by Client

A client may terminate a project agreement at any time by providing written notice to Noblyn LLC. Upon termination, the client shall pay for all work completed up to the date of termination, calculated on a pro-rata basis of the total project fee. The deposit paid is non-refundable.

13.2 Termination by Noblyn LLC

Noblyn LLC reserves the right to terminate a project agreement if:

  • The client fails to make payment in accordance with the agreed terms
  • The client provides materially inaccurate or misleading project information
  • The client requests work that Noblyn LLC determines to be unlawful, unethical, or outside its professional competence
  • The client engages in conduct that is abusive, threatening, or disrespectful toward Noblyn LLC staff

In the event of termination by Noblyn LLC for any of the above reasons, fees for all work completed to date will remain payable by the client.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
